1. Acceptance of terms
Welcome to Manzil. These Terms of Service ("Terms") form a binding agreement between you and GREATMALL DIGITAL, MCHJ ("Manzil", "we", "us", or "our") and govern your access to and use of the Manzil platform, websites, and the Manzil Driver and Manzil Warehouse mobile applications (together, the "Service").
By creating an account, downloading an application, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Definitions
- Platform β the Manzil marketplace connecting parties who wish to ship cargo with parties who wish to transport it.
- Cargo Owner β a user (such as a warehouse or business) who publishes shipments using the Manzil Warehouse app.
- Carrier / Driver β a user who browses cargo and submits quotes using the Manzil Driver app.
- Order β a published shipment listing including route, transport type, dates, and cargo details.
- Quote β a price and terms submitted by a Carrier in response to an Order.
3. Accounts & eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Service. You agree to provide accurate, current, and complete information during registration β including a valid phone number β and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. You may use the Service only on behalf of yourself or an organization you are authorized to represent.
4. The role of Manzil
Manzil is a neutral technology platform that connects Cargo Owners and Carriers. We are not a carrier, freight forwarder, broker, or party to any transport agreement entered into between users.
Any contract for the transport of goods is concluded directly between the Cargo Owner and the Carrier. Manzil does not control and is not responsible for the existence, quality, safety, legality, or timely delivery of any shipment, nor for the conduct of any user.
5. Cargo, quotes & orders
Cargo Owners are solely responsible for the accuracy of the Orders they publish, including route, weight, dimensions, transport type, dates, and any special handling requirements. Carriers are responsible for the accuracy of the Quotes they submit.
When a Cargo Owner accepts a Quote, a direct agreement is formed between the parties. Each party is responsible for complying with all applicable transport, customs, licensing, and safety regulations along the route, including for cross-border movements between Central Asia and China.
6. Fees & payments
Creating an account, publishing Orders, and browsing the cargo feed are free. Manzil may charge a service fee when a shipment is matched and confirmed, as disclosed to you before you incur it. We may change our fees from time to time, with notice as required by law.
Unless expressly stated otherwise, transport charges agreed between a Cargo Owner and a Carrier are settled directly between those parties. You are responsible for any taxes applicable to your use of the Service.
7. Acceptable use
You agree not to:
- Post false, misleading, fraudulent, or unlawful Orders or Quotes;
- Use the Service to transport prohibited, dangerous, or illegal goods in violation of applicable law;
- Circumvent, disable, or interfere with security or operational features of the Service;
- Scrape, reverse-engineer, or copy any part of the Service without authorization;
- Harass, defraud, or harm other users.
8. Carrier verification
Manzil may verify certain Carrier information, such as identity, vehicle, and plate details, before a Carrier can submit Quotes. Verification is intended to improve trust but does not constitute a guarantee or endorsement. Cargo Owners remain responsible for their own due diligence before handing over goods, including confirming driver contact as prompted in the app.
9. Cancellations & disputes
Cancellation rights and obligations are governed by the agreement between the Cargo Owner and the Carrier. Manzil is not a party to disputes between users but may, at its discretion, provide tools or information to help resolve them.
You agree to resolve disputes with other users directly and in good faith, and to release Manzil from claims arising out of such disputes to the maximum extent permitted by law.
10. Intellectual property
The Service, including the Manzil name, logo, software, and design, is owned by Manzil and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. Content you submit remains yours, but you grant Manzil a license to host and display it as necessary to operate the Service.
11. Disclaimers & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law. Manzil does not warrant that the Service will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Manzil will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, cargo, revenue, or data, arising out of or related to your use of the Service or any transaction between users.
12. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. You may stop using the Service at any time. Sections that by their nature should survive termination will continue to apply.
13. Governing law
These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law principles. The courts located in the Republic of Uzbekistan will have exclusive jurisdiction over any dispute arising from these Terms, unless mandatory local law provides otherwise.
14. Changes & contact
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.
